  • Review and Approval: Review our work promptly and provide necessary feedback to facilitate project timelines.
  • Compliance with Laws: Ensure that all information, content, and materials provided to Cyber Marcel are accurate, lawful, and do not infringe any third-party rights.
  • Payments: Make payments on time as outlined in your contract or invoice.

4. Project Timelines and Revisions

Cyber Marcel will make every effort to meet project deadlines as outlined in the project agreement. However, timelines may vary due to unforeseen factors. We will inform you of any changes and work to ensure project completion as quickly as possible.

Revisions: We offer a specific number of revisions per project, detailed in your project agreement. Additional revisions beyond the agreed-upon number may incur extra charges, which will be communicated to you in advance.

5. Payment Terms

Our payment structure for each project will be clearly outlined in the project proposal or contract. Cyber Marcel generally requires:

  • Deposit: A deposit is typically required to begin work on your project.
  • Milestone Payments: Payments at specific stages of the project, as outlined in your agreement.
  • Final Payment: Full payment upon completion of the project, prior to the final delivery of assets or launch of the website.

Failure to make payments on time may result in delays, suspension, or termination of Services.

6. Intellectual Property

Upon full payment, Cyber Marcel grants you a non-exclusive, non-transferable license to use the final deliverables. Until payment is made in full, Cyber Marcel retains ownership of all intellectual property related to the project.

Use of Work in Portfolios:
Cyber Marcel reserves the right to display completed projects and associated designs in our portfolio, website, or marketing materials, unless otherwise agreed upon in writing.

7. Confidentiality

Both Cyber Marcel and the client agree to maintain confidentiality concerning any sensitive or proprietary information shared during the course of the project. This includes, but is not limited to, trade secrets, business plans, and personal information. Confidential information will not be disclosed to third parties without prior consent, except as required by law.

8. Third-Party Services

Cyber Marcel may utilize third-party services, software, or platforms as part of the project (e.g., hosting providers, analytics tools, CMS systems). While we select reputable third-party services, we are not liable for the performance, security, or privacy practices of these third parties. By agreeing to these Terms, you consent to our use of third-party services where necessary.

9. Limitation of Liability

To the fullest extent permitted by law, Cyber Marcel and its affiliates, employees, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from or related to the use or inability to use our Services. This includes, but is not limited to, damages for lost profits, business interruption, or loss of data, even if Cyber Marcel has been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cyber Marcel, its employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected to:

  • Your use of the Services.
  • Any breach of these Terms.
  • Any infringement of intellectual property rights or violation of privacy laws due to content or materials you provide.

11. Termination

Cyber Marcel reserves the right to terminate or suspend Services if:

  • Payment is not made in accordance with agreed terms.
  • Any action by the client compromises the integrity or functionality of Cyber Marcel’s Services or reputation.

Upon termination, all outstanding payments become due immediately. Cyber Marcel will provide a written notice of termination and, if applicable, deliver all completed project files as of the termination date, provided all payments are up-to-date.

12. Amendments to Terms

Cyber Marcel may update these Terms periodically to reflect changes in our services or applicable laws. Any updates will be posted on our website with the effective date. Continued use of our Services after any changes are posted constitutes your acceptance of the new Terms.

13. Governing Law
